Agreement to Terms

Intellectual Property

Unless otherwise specified in a project agreement:

• All intellectual property rights in deliverables created for you shall transfer to you upon full payment
• We retain rights to our pre-existing tools, frameworks, and methodologies
• You grant us permission to use project work in our portfolio and marketing materials unless otherwise agreed

Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Payment is due according to the agreed schedule
• Late payments may incur interest charges and project delays
• We reserve the right to suspend services for non-payment
• All prices are exclusive of applicable taxes

Project Timeline and Delays

We strive to meet agreed-upon timelines, but project schedules are estimates and may be affected by factors including client delays in providing feedback or materials, scope changes, and unforeseen technical challenges. We are not liable for delays outside our reasonable control.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of our engagement. This obligation continues even after project completion or termination of services.

Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner. However:

• Services are provided "as is" without warranties of any kind
• We do not warrant that services will be uninterrupted or error-free
• We are not responsible for third-party services or platforms
• Any warranties are limited to the period specified in the project agreement

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the amount paid by you for the services in question.

Indemnification

You agree to indemnify and hold harmless Corsican Eagle from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

Termination

Either party may terminate services according to the terms specified in the project agreement. Upon termination, you must pay for all services rendered up to the termination date. We may terminate or suspend access immediately for violations of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiation. If unresolved, disputes may be subject to binding arbitration or litigation as specified in individual agreements.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
